“Curaleaf Makes Bid to Acquire Aurora Cannabis”

A U.S. cannabis company, Curaleaf Holdings Inc., has made a bid to acquire Aurora Cannabis Inc., an Edmonton-based firm. Aurora has formed a special committee to review this unsolicited offer following Curaleaf’s announcement of its intention to purchase all of Aurora’s shares, creating a global cannabis company operating in 17 countries. Curaleaf, based in Stamford, Connecticut, went public with its proposal after failed attempts to negotiate privately with Aurora’s leadership. The bid includes offering Aurora shareholders $4 US per share, along with an additional $0.75 US in cash for each share.

While Curaleaf claims that Aurora had refused to engage in discussions, Aurora has denied this accusation, stating that their lead independent director had been in correspondence with Curaleaf’s CEO up until July 24. Aurora will convene a special committee of independent directors to evaluate the proposal’s merit for stakeholders, emphasizing that there is no guarantee of a deal being finalized. Despite the interest shown by Curaleaf, analysts at TD Cowen believe that the current offer undervalues Aurora’s long-term potential, citing Aurora’s market leadership in medical cannabis and ability to create substantial value over time.

Curaleaf believes that merging the two companies would create value by combining Curaleaf’s global distribution network with Aurora’s international medical cannabis operations. The companies collectively generated over $1.5 billion US in revenue in the past year, with Curaleaf anticipating at least $40 million US in annual cost synergies from the proposed acquisition. Curaleaf’s CEO, Boris Jordan, sees this as a mutually beneficial opportunity for both Curaleaf and Aurora shareholders, offering enhanced global exposure and potential benefits from U.S. regulatory developments.
